This Service Order (“SO”) forms an integral and essential part of the General Terms of Service (“GTS”) of ENARTIA SINGLE-MEMBER S.A. (“Enartia” or the “Company”) and applies to the provision of Managed Hosting, Managed Dedicated Hosting and/or related hosting infrastructure management services (the “Service”). 

Capitalized terms not specifically defined herein shall have the meaning given to them in the GTS. The applicable commercial offer, technical description, or Customer activation request forms part of this SO and specifies, in particular, the technical characteristics, duration, cost, level of managed support, any SLA, backups, Operating System, Control Panel, or additional services. 

This SO applies in addition to the GTCs. In the event of conflict or specific regulation, this SO shall prevail over the GTCs solely with respect to the specific Service. The Data Processing Agreement (DPA), where applicable, also forms part of the Agreement. In the event of any discrepancy in interpretation between the Greek and the English text, the Greek text shall prevail. 

  1. Definitions
  • “Managed Hosting” or “Managed Dedicated Hosting”: a hosting service that combines hosting infrastructure with predefined technical management services, as described in the commercial offer. 
  • “Infrastructure”: a physical or virtual server, cloud environment, network equipment, storage space, operating system, control panel, or other technical environment used to provide the Service. 
  • “Managed Services”: the individual management, monitoring, maintenance, update, technical support, backup, restore, or migration tasks expressly included in the commercial offer or agreed separately. 
  • “Content”: any information, file, website, application, database, email, software, code, system, or other item hosted, stored, transmitted, or used through the Service by the Customer or by persons acting under its responsibility. 
  • “Technical Administrator”: a natural or legal person appointed or authorized by the Customer for access, management, or technical actions in relation to the Service. 
  • “Third-Party Provider”: any third-party provider of infrastructure, datacenter, cloud, dedicated server, software, licensing, control panel, backup, monitoring, security, or other technical service used to provide the Service. 
  1. Descriptionof the Service 

The Service consists of the provision of a hosting environment in accordance with the characteristics of the selected offer and, where included, the provision of predefined Managed Services. The Service may be provided on a physical server, virtual server, cloud infrastructure, or other technical environment, as stated in the commercial offer. 

Enartia may provide the Service through its own infrastructure, that of the team.blue group, and/or third-party providers, including, indicatively, datacenter, cloud, or dedicated server providers. The use of third-party providers does not create a direct contractual relationship between the Customer and the third-party provider, unless expressly agreed. 

The Service does not entail the transfer of ownership or the grant of a real (property) right over any equipment, infrastructure, software, license, third-party provider account, or technical component. The Customer only acquires a right to use the Service for the duration of the Agreement and in accordance with the contractual terms. 

Activation/delivery time: unless otherwise specified in the commercial offer, the Service is activated within a reasonable period from full payment of the order. This period may depend, in whole or in part, on the delivery time of the infrastructure Third-Party Provider (for example, it may take more than fifteen (15) business days for dedicated server infrastructure), for which Enartia bears no responsibility beyond the timely forwarding of the order. 

  1. Contentof Managed Services 

Managed Services are included only to the extent expressly stated in the commercial offer. Indicatively, and provided they have been purchased or agreed, they may include: 

  • initial installation or basic configuration of the operating system, control panel, or hosting stack, 
  • basic management of the infrastructure, server, or hosting environment, 
  • availability monitoring of specific services or resources, 
  • technical support for issues relating to infrastructure, operating system, control panel, web server, mail service, database service, or other elements included in the agreed managed scope, 
  • application of critical security or maintenance updates at the infrastructure or software level that is under Enartia’s management, 
  • backup, restore, or migration, provided these are expressly stated in the commercial offer, 
  • coordination or management of incidents with third-party infrastructure providers, where the infrastructure is provided through a third-party provider, 
  • VM Management add-on – Provided as an additional VM management service, including installation, updates, functionality monitoring, and technical support, in accordance with the conditions specified in the commercial offer. In environments requiring an additional IP, this must be included within the scope of the commercial offer. 

All Managed Services are activated or performed at the Customer’s request or as part of the necessary maintenance, security, or availability works. 

  1. ExpressExclusionsfrom the Managed Scope 

Unless expressly provided in the commercial offer or agreed separately, the Service does not include: 

  • development, correction, debugging, or rebuilding of a website, application, custom code, theme, plugin, or CMS, 
  • verification of the legality, accuracy, completeness, or quality of the Customer’s Content, 
  • management of e-shop, ERP, CRM, payment gateway, newsletter tool, third-party integrations, or the Customer’s business processes, 
  • any guarantee of compatibility of applications, CMS, plugins, themes, or custom code with new versions of PHP, MySQL, MariaDB, operating system, control panel, or other technologies, 
  • performance optimization, SEO, marketing, conversion, application-level monitoring, or transaction monitoring, 
  • a complete business continuity plan, disaster recovery plan, or high-availability architecture, 
  • comprehensive cybersecurity, penetration testing, forensic investigation, or a guarantee against breach, 
  • support for software or a version that has been designated end-of-life or is not supported by the manufacturer or the development community, beyond any limited support that may be agreed, 
  • provision of installation and software licenses, unless this service is expressly included in the commercial offer. 
  1. Third-PartyProvider Infrastructure 

The Customer acknowledges that certain technical characteristics, usage limits, SLAs, maintenance windows, equipment replacement procedures, geographic locations, available software versions, licensing terms, and other technical or operational restrictions may depend on third-party providers. 

To the extent the Service relies on a third-party provider, Enartia does not provide guarantees broader than those set out in the GTS, this SO, the commercial offer, and, as applicable, the applicable terms or SLA of the third-party provider. Any credits, SLA, or technical commitments of a third-party provider apply only to the extent they have been expressly incorporated into the commercial offer to the Customer or are technically available to Enartia. 

Enartia reserves the right to relocate, rearrange, or modify the infrastructure or the geographic location of the servers, provided that the physical storage location of the Content remains within the European Union and the functionality of the Service is not materially affected, in accordance with the GTS. The above commitment relates exclusively to the storage of the Content and does not exclude occasional, remote administrative access or processing outside the EU for security, technical support, or maintenance purposes, as provided under the Third-Party Provider’s terms and Article 13 hereof. 

  1. CustomerObligations and Liability 

The Customer remains solely responsible for: 

  • selecting the appropriate Service, package, resources, location, and additional services based on its needs, criticality, and regulatory requirements, 
  • the Content, applications, code, CMS, plugins, themes, databases, email accounts, and other elements hosted or used through the Service, 
  • the legality of the Content and non-infringement of third-party rights, 
  • maintaining the necessary usage licenses for any third-party software it installs or uses, 
  • managing users, credentials, passwords, API keys, SSH keys, 2FA/OTP, and other means of access, 
  • the secure operation and updating of its applications or websites, to the extent not expressly included in the managed scope, 
  • maintaining independent backup copies and an appropriate business continuity/disaster recovery plan, depending on the importance of its data and activity, 
  • cooperating immediately with Enartia in the event of an incident, technical failure, abuse report, security incident, or request from a competent authority, 
  • compliance with the usage limits, acceptable use terms, the GTS, this SO, and applicable law. 
  1. TechnicalAdministratorand Access 

The Customer may appoint a Technical Administrator in accordance with the GTS. The Customer acknowledges that it bears sole and full responsibility for any action or omission of the Technical Administrator, including changes to settings, access to data, processing of personal data, support requests, changes to the Service, or technical interventions. 

Enartia is not liable for unlawful, criminal, civil, or administrative violations, or for any damage resulting from actions of the Customer, its users, or the Technical Administrator. The Customer must indemnify and hold Enartia harmless from related third-party claims, to the maximum extent permitted by applicable law. 

  1. Third-PartySoftware, Updates, and End-of-Life 

The Service may use technologies, software, or products from third-party manufacturers or open-source communities, such as, indicatively, Linux, Windows, PHP, MySQL, MariaDB, Apache, Nginx, Plesk, cPanel, WordPress, CMS, plugins, and themes. 

The Customer must keep its website, applications, and software on actively supported and secure versions. Where the official provider or development community discontinues support or security updates for a specific version, Enartia is not liable for risks, incompatibilities, breaches, or malfunctions arising from the Customer’s continued use of it.

  1. Backupsand Restore 

Unless expressly stated otherwise in the commercial offer, the Service does not include the creation or maintenance of backup copies. Taking and maintaining backups is the sole responsibility of the Customer. 

Where the commercial offer includes a backup service, this is provided as an additional technical service and does not replace the Customer’s obligation to maintain its own independent backup copies in a secure, remote environment. The frequency, retention period, scope, exceptions, and cost of the backup service are set out in the commercial offer or the control panel. 

Enartia does not guarantee that every backup will be complete, up to date, error-free, available, or fit for a particular purpose. Restore is carried out only where an available and technically usable backup exists. The Customer acknowledges that a restore may return the website, application, or database to a previous version and may cause the loss of subsequent changes. 

If restore is not expressly included in the commercial offer, it may be provided as an additional chargeable task, at the Customer’s request and provided it is technically feasible. 

  1. Resources,Traffic, and Usage Limits 

The Service is subject to the technical and commercial limits stated in the commercial offer, such as, indicatively, CPU, RAM, storage, I/O, bandwidth, traffic, processes, connections, or other technical limits. 

In the event of exceeding limits, unusual use, abuse, activity that burdens the infrastructure, or a risk to the stability, security, or performance of the services, Enartia may request that the Customer upgrade, adjust resources, limit usage, make a technical correction, or pay an additional cost. If the Customer does not comply, Enartia may suspend or terminate the Service in accordance with the GTS and this SO. 

  1. Migration

Migration services are provided only where included in the commercial offer or agreed separately. The transfer may be subject to technical conditions, such as the existence of a compatible control panel, available backups, access to the previous provider, technical compatibility of the new environment, and the absence of content on the new server prior to the transfer. 

Where a transfer procedure is carried out via a migration tool, the Customer must submit the request within the deadline set out in the commercial offer or, if not otherwise specified, within ninety (90) days of full payment of the relevant order. If additional technical actions beyond the basic configuration are required, additional charges may apply. 

Enartia does not guarantee that every website, application, database, email service, custom configuration, or third-party integration will be transferred or will operate without incompatibilities in a different environment. The Customer remains responsible for taking a backup before the transfer and for the final confirmation that everything works after the transfer. 

  1. SLA andServiceCredits 

Any SLA or service credits apply only where expressly provided in the commercial offer. Unless otherwise specified, the SLA relates exclusively to the availability of the infrastructure under Enartia’s control or, where applicable, the pass-through SLA of the third-party provider incorporated into the commercial offer. 

For Managed Servers for which an SLA guarantee is provided, if the Technological Equipment or the Data Center Infrastructure hosting your server is available less than 99.9% over the course of one year, Enartia will provide you with a credit equal to the difference between the guaranteed level of service availability offered for that Server’s SLA category during the month and the calculated level of service availability. Credits relate only to the amount of the monthly fee paid as consideration for the specific services and do not cover any damages that may arise from their unavailability. Credits are calculated according to the table below, measuring 24 hours a day within a calendar month, with the maximum credit not exceeding 50% of the monthly service charge for that month.

The credit is applied within 60 days of the date the request is submitted. A credit of this kind constitutes the Customer’s sole remedy in the event of a service outage. 

The SLA does not cover malfunction of a website, application, database, CMS, plugin, theme, custom code, third-party DNS, email deliverability, the Customer’s connection issues, browser, third-party network, third-party software, malicious acts, hacking, malware, scheduled or emergency maintenance, an act or omission of the Customer, or an event beyond Enartia’s reasonable control. 

Service credits, where applicable, constitute the Customer’s sole and exclusive remedy for failure to meet the SLA, are not paid in cash, and are subject to the limits, conditions, and exceptions of the GTCs, the commercial offer, or the applicable SLA. Any credits Enartia may receive from a Third-Party Provider are not automatically, proportionally, or at the same rate/amount passed on to the Customer; the Customer’s compensation is limited exclusively to what is expressly provided in Enartia’s commercial offer to it. 

  1. Suspension,Security, and Acceptable Use 

The Customer is obliged to use the Service lawfully, securely, and in accordance with the GTS, this SO, Enartia’s technical instructions, and applicable law. In particular, use for unlawful content, spam, phishing, malware, botnets, DDoS, brute force, unauthorized access, unlawful distribution of content, or any other activity that endangers the infrastructure, third parties, or Enartia is prohibited. 

Enartia may suspend the Service in whole or in part where required by law or a competent authority, where there is a breach of these terms, where a risk to security, stability, or liability arises, or where use is unlawful, abusive, or harmful. Where required and feasible, the prior notice procedure provided for in the GTCs shall apply. In urgent cases, particularly for reasons of security, infrastructure protection, compliance with an authority, or prevention of damage, suspension may take place immediately and without prior notice. 

  1. Term,Renewal, Termination, and Withdrawal 

The term of the Service is set out in the commercial offer. Unless otherwise specified, the Service may be renewed automatically in accordance with the GTS. The Customer may change the renewal method by contacting the Company (e.g., ticket, chat, phone call). 

In the event of early termination by the Customer for reasons not attributable to Enartia’s fault, no refund or compensation is due for the unused period, unless otherwise provided by mandatory law or a specific commercial policy. 

Where the Service is provided as a managed infrastructure service that is activated immediately at the Customer’s request, the Customer acknowledges that it is requesting the immediate commencement of the provision and that, after activation, no right of withdrawal or refund of amounts paid applies, to the extent permitted by applicable law. No right of withdrawal is granted to legal entities or to natural persons acting within the scope of a professional activity. 

  1. Modificationor Discontinuation of the Service 

Enartia may modify, upgrade, replace, transfer, limit, or discontinue features of the Service for technical, security, functionality, or regulatory compliance reasons, changes to third-party provider terms, licensing, commercial policy, or the maintenance of an adequate level of service. 

Where a modification materially affects the Service or its cost, the notification procedure and the Customer’s rights set out in the GTS shall apply. Urgent changes for reasons of security, compliance, or infrastructure protection may be implemented immediately. 

  1. Limitationof Liability 

Enartia is liable only for direct and proven damage caused by intent or gross negligence, or in any other case where liability cannot be limited under mandatory law. 

Enartia is not liable for indirect, punitive, or consequential damages, loss of profits, loss of customers, loss of reputation, loss of business, loss of data, data breach, damage to software or databases, third-party claims, or consequences arising from acts or omissions of the Customer, the Technical Administrator, users, applications, third-party providers, or events beyond Enartia’s reasonable control. 

Subject to mandatory legal provisions, Enartia’s total aggregate liability to the Customer, arising from any cause related to this Service, whether based on contract or tort, may not exceed, per period of twelve (12) consecutive months, the total amount paid by the Customer to Enartia for the specific Service during the six (6) months preceding the event giving rise to the claim. 

The above limit constitutes a maximum aggregate cap and not a per-incident limit. Enartia’s liability arising indirectly from a Third-Party Provider is further limited to the amount of any credit, compensation, or remedy that Enartia actually receives from the relevant Third-Party Provider for the specific incident. 

  1. Protection ofPersonalData 

To the extent the provision of the Service involves the processing of personal data on behalf of the Customer, the Privacy Policy applies. 

  1. InternationalSanctionsand Export Control 

The Customer represents and warrants that it is not, is not controlled by, and does not act on behalf of, a person subject to international economic or trade sanctions, embargoes, or export restrictions imposed by the European Union, the United Kingdom, the United States of America, or the United Nations, and that it will not use, resell, export, or transfer the Service to persons, entities, or countries subject to such restrictions. 

The above commitment is imposed on Enartia under the terms of the infrastructure Third-Party Provider and is passed on proportionally to the Customer. Breach of this provision constitutes material grounds for the immediate termination of the Service by Enartia, without prior notice. 

  1. Deletionof Content Upon Expiry or Termination 

Upon expiry, termination, or non-renewal of the Service, for any reason, the Content and any backup copies are automatically and irreversibly deleted, in accordance with the GTS and the applicable terms of the Third-Party Provider, unless otherwise provided in the commercial offer or otherwise required by applicable law. 

It is the Customer’s sole responsibility, prior to expiry, termination, or any update/reinstallation action affecting the Service, to take a copy of and transfer its Content to its own environment. Enartia has no obligation to retain a copy of the Content after the termination of the Service, beyond what is required by applicable law or expressly provided in the DPA. 

  1. ForceMajeure

Neither party shall be liable for failure to perform, or delay in performing, its contractual obligations – excluding the obligation to pay amounts due – where this is due to a force majeure event beyond its reasonable control, including, indicatively, natural disasters, war, acts of terrorism, strikes, government measures, damage to telecommunications networks or the internet, pandemic, or a corresponding force majeure event invoked by, and applicable against Enartia by, the infrastructure Third-Party Provider. The affected party must promptly notify the other party and make reasonable efforts to mitigate the consequences. 

  1. GoverningLaw and Jurisdiction 

This SO and the Agreement are governed by Greek law. For any dispute arising from or in connection with this SO, the courts of Enartia’s registered seat, in Heraklion, Crete, shall have exclusive jurisdiction, subject to mandatory consumer protection provisions that may designate a different competent court. 

  1. GeneralProvisions

22.1 Amendment 

Enartia may amend this SO in accordance with the notification procedure set out in the GTS. 

22.2 Severability 

If any provision of this SO is held invalid or unenforceable, this shall not affect the validity of the remaining provisions, which shall remain in full force. The parties shall, to the extent possible, replace the invalid provision with another that reflects its purpose. 

22.3 No Waiver 

Enartia’s failure to exercise any right arising from this SO does not constitute a waiver of that right, nor does it grant the Customer the right to invoke a practice contrary to the terms of this SO. 

22.4 Entire Agreement 

This SO, together with the GTCs, the DPA, the commercial offer, and the other terms it references, constitutes the entire agreement between the parties with respect to its subject matter and supersedes any prior understanding, whether oral or written. 

By electronically accepting this SO – for example, through payment or activation of the order on the control panel – the Customer declares that it has read, understood, and unconditionally accepts all the terms of this SO, the GTCs, the DPA, and the applicable commercial offer.
